Plain terms, for the site and the sandbox.
The terms that apply when you read this site and the documentation, or build in the Payrun sandbox.
Example text for the Payrun template, written for a fictional company. Have it reviewed by a lawyer and adapted to your business, your data and your jurisdiction before you publish it.
1. About these terms
These terms apply when you use the Payrun website, read our documentation or open a developer account (together, the “Site”). By using the Site, you accept them for yourself and for the company you represent. If you do not accept them, please do not use the Site.
The Site is run by Payrun, Inc., a Delaware corporation (“Payrun”, “we”, “us”). Our Privacy Policy and Cookie Policy explain how we handle personal information and form part of these terms.
2. The Site and the production service
The Site describes Payrun’s payroll, tax filing and benefits services and gives developers access to documentation and a sandbox. Running payroll for real employers requires a signed Partner Agreement, an approved integration review and the verification of each employer. The Partner Agreement, not these terms, governs production use, fees, the movement of funds and service levels.
Features, coverage and prices described on the Site may change. A description on the Site is not an offer and does not bind us until it appears in a signed agreement.
3. Developer accounts and API keys
Give accurate information when you open a developer account and keep it up to date. Accounts are for people acting for a business, one account per person. You are responsible for everything done with your account and your API keys.
Keep secret keys on your servers, never in a browser, a mobile app or a public repository. If you think a key has been exposed, revoke it from your dashboard at once and tell us. We may revoke keys that appear in public places or are used against these terms.
4. The sandbox
The sandbox is a test environment. It calculates pay, simulates funds movement, tax filings and bank returns, and sends webhooks, but no money moves and nothing is filed with any agency. Results in the sandbox are not tax advice and may differ from production.
Use only test data in the sandbox: the test employers, Social Security numbers and bank accounts listed in our documentation. Do not upload real personal information. We may reset sandbox data, limit request rates and remove a sandbox after 90 days without use.
5. Acceptable use
Do not use the Site to break the law or anyone’s rights; to probe, scan or test the security of our systems without our written permission; to overload or disrupt the Site; to copy it beyond normal reading of the documentation; to reverse engineer the API beyond what our documentation describes; or to build a competing payroll service from our documentation.
We welcome security research done in good faith. Report vulnerabilities to security@payrun.example (demo address) before you make them public, and we will not take action against research that follows these terms.
6. No tax, legal or benefits advice
Guides, examples, calculators and explanations of tax and employment rules on the Site are general information. They do not take your situation into account and are not tax, legal, accounting or benefits advice. Rules change, and they differ from one state and city to the next.
Each employer remains responsible for classifying its workers, setting their pay and checking the information it gives us. Speak to a qualified advisor before you rely on anything you read here.
7. Intellectual property and feedback
The Site, its text, code samples, design, logos and the Payrun name belong to Payrun or its licensors. You may copy code samples from our documentation into your own integration with Payrun. Anything else needs our written permission.
If you send us ideas or feedback, we may use them without any obligation to you. Your own code and data stay yours.
8. Third-party links and services
The Site links to other websites and names banks, tools and services that work with Payrun. We do not control those sites, and a mention does not mean that they endorse us or that we endorse them. Their own terms and privacy policies apply.
Some features of the Site, such as booking a demo, rely on third-party tools. Using them is subject to those tools’ terms.
9. Disclaimers and liability
The Site, the documentation and the sandbox are provided “as is” and “as available”. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and we do not promise that the Site will be uninterrupted or free of errors.
To the extent the law allows, Payrun will not be liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data, arising from your use of the Site, and our total liability for any claim about the Site is limited to one hundred US dollars (US$100). Nothing in these terms limits liability that cannot be limited by law, and the Partner Agreement sets its own liability terms for production use.
10. Changes, governing law and contact
We may update these terms. The date at the top of this page shows the latest version, significant changes are announced here before they take effect, and if you keep using the Site after a change, the new terms apply.
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules, and disputes will be heard by the state and federal courts located in Delaware. Questions about these terms can be sent to legal@payrun.example (demo address) or through our contact page.
